Welcome to the Tech Nautilus website located at www.technautilus.com (the “Site”), operated by Tech Nautilus Pty Ltd (“Tech Nautilus”, “we”, “us”, or “our”). By accessing or using the Site, you agree to be bound by these Terms of Service (the “Terms”). If you do not agree to these Terms, do not use the Site.

These Terms apply only to our company’s marketing/information website. Terms governing the use of any Tech Nautilus products, apps, platforms, or developer services are provided separately and will prevail for those services.

About the Site

The Site provides general information about our company, team, and offerings, and may include a Contact form for enquiries. The Site does not require user account registration. We do not provide legal, financial, engineering, or other professional advice via the Site; any materials are for general information only.

Changes to the Site and to these Terms

We may update, enhance, or discontinue any aspect of the Site at any time without notice. We may also modify these Terms periodically. The “Last updated” date above reflects the latest revision. Your continued use of the Site after a change constitutes acceptance of the updated Terms.

Except for the limited licence in Section 5, no rights are granted to you (by implication, estoppel, or otherwise). All trade marks, logos, and service marks displayed on the Site are the property of Tech Nautilus or third parties; you may not use them without the respective owner’s prior written consent.

The Site may contain links to third-party websites or integrate third-party services (e.g., maps, video players). We do not control and are not responsible for third-party content, policies, or practices. Accessing any third-party site or service is at your own risk and may be subject to that third party’s terms and policies.

Submissions, Enquiries, and Feedback

If you submit information to us via the Contact form or by email (collectively, “Submissions”):

  • Purpose. You authorise us to use Submissions for the purpose of responding to your enquiry, evaluating potential collaboration, and operating and improving the Site and our business.
  • Confidentiality. Submissions sent through the Site are not confidential. Please do not include sensitive, proprietary, or personal information beyond what is reasonably necessary for us to respond. If you need to share confidential information, please contact us first to arrange appropriate confidentiality terms.
  • Feedback. If you provide suggestions, ideas, or feedback, you grant Tech Nautilus a worldwide, perpetual, irrevocable, royalty-free licence to use and exploit such feedback without restriction and without any obligation to compensate you.

By contacting us, you consent to receive communications from us electronically (e.g., replies by email). You agree that all notices, disclosures, and other communications we provide electronically satisfy any legal requirements that such communications be in writing.

Section 11

No Warranties (Site Provided “As Is”)

To the fullest extent permitted by law, the Site and all Content are provided “as is” and “as available” without warranties of any kind, whether express, implied, statutory, or otherwise, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement, and any warranties arising from course of dealing or usage of trade. We do not warrant that the Site will be uninterrupted, secure, or error-free, or that defects will be corrected.

Australian Consumer Law (ACL) carve-out. Nothing in these Terms excludes, restricts, or modifies any consumer guarantees, rights, or remedies conferred on you by the Competition and Consumer Act 2010 (Cth) and the Australian Consumer Law that cannot be excluded, restricted, or modified.

Section 12

Limitation of Liability

  • Tech Nautilus will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, goodwill, data, or business interruption, arising out of or related to your use of (or inability to use) the Site.
  • Our total aggregate liability for all claims arising out of or relating to the Site or these Terms will not exceed AUD $100.

If the ACL applies and liability for a breach of a non-excludable guarantee can be limited, our liability is limited, at our option, to the re-supply of the services or the payment of the cost of having the services re-supplied.

Section 13

Indemnity

You agree to indemnify, defend, and hold harmless Tech Nautilus and our officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to: (a) your breach of these Terms; (b) your misuse of the Site; or (c) your violation of any laws or third-party rights.

Section 14

Suspension and Termination

We may suspend or terminate your access to the Site at any time, with or without notice, if we reasonably believe you have violated these Terms or applicable law, or to protect the Site, our users, or third parties. Upon termination, the licence granted to you in Section 5 will immediately cease.

Section 15

International Users

The Site is controlled and operated from Australia. We make no representation that the Site is appropriate or available for use in other locations. You are responsible for compliance with local laws if you access the Site from outside Australia.

Section 16

Governing Law and Jurisdiction

These Terms are governed by the laws of Western Australia, Australia, and the courts of New South Wales shall have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Site. You irrevocably submit to the jurisdiction of those courts.

General Provisions

  • Entire Agreement. These Terms constitute the entire agreement between you and Tech Nautilus regarding the Site and supersede all prior or contemporaneous communications about the Site.
  • Severability. If any provision of these Terms is held invalid or unenforceable, that provision will be enforced to the maximum extent permissible and the remaining provisions will remain in full force and effect.
  • No Waiver. Our failure to enforce any right or provision does not constitute a waiver of that right or provision.
  • Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.
  • Force Majeure. We are not liable for any delay or failure to perform due to causes beyond our reasonable control, including acts of God, labour conditions, internet failures, or governmental actions.
